Form 5472 & staying compliant

When a foreign-owned U.S. disregarded LLC must assess Form 5472: reportable transactions, pro forma Form 1120, filing routes and penalties.

This is not a government website. Incorporation Bureau is privately owned and is not affiliated with any state business registry, any Secretary of State, or the IRS. You can file directly with the official registry yourself.

A foreign-owned U.S. LLC treated as a disregarded entity generally must file Form 5472 when it has a reportable related-party transaction. Foreign ownership alone is not an unconditional annual filing rule, and zero revenue does not by itself remove the requirement.

What triggers the filing

Foreign-owned single-member LLCs with a reportable transaction — including simply funding the company — generally must file Form 5472 with a pro-forma Form 1120. Even a zero-income year can require it.

Official instructions and filing assessment

The IRS instructions for Form 5472 explain who must file, exceptions, reportable transactions and the special pro forma Form 1120 process for foreign-owned U.S. disregarded entities. Contributions and distributions can be relevant even when the business has no sales.

Instructions checked November 2, 2026.

First assess entity classification, ownership and reportable transactions using the IRS instructions. A preparer may help with that assessment and any required filing; compare the actual scope of service instead of assuming a formation package includes tax reporting.

Frequently asked questions

What is the Form 5472 penalty?

The IRS instructions specify a $25,000 penalty for failure to file when due in the prescribed manner. If the failure continues beyond 90 days after IRS notification, additional $25,000 penalties can apply for each 30-day period or part of a period, for each related party with a failure.

Do I file even with no income?

Possibly — a reportable transaction such as funding the LLC can trigger the requirement even at zero revenue.

Can a service handle Form 5472 for me?

A preparer may help, but check whether the selected service covers the entity’s classification, required forms and transactions. Filing assistance is optional and package scope varies.

Put this into practice

Do not confuse tax information reporting with beneficial-ownership reporting. Our BOI guide for foreign-owned U.S. LLCs explains why the formation jurisdiction matters for that separate check.

Before choosing a filing route, review EIN requirements and the IRS application process.
