A registered agent is a person or entity designated under the applicable state rules to receive service of process and specified official communications. The role helps route legal documents to the company. Its precise duties and eligibility rules depend on the jurisdiction.
Understand the document-receipt role
Service of process concerns formal delivery of legal papers, such as documents starting a lawsuit. Arrange reliable forwarding and a person responsible for acting on them. Hiring an agent does not itself supply a legal defense, file every report or pay the company's taxes.
Read the state system accurately
Wyoming's guidance describes individual-agent residence, physical-address and consent requirements. Other states must be checked on their own terms. New York uses the Secretary of State as statutory agent for most domestic and authorized LLCs. Pennsylvania requires a registered office and permits a contracted CROP, which it distinguishes from a registered agent.
These differences matter before concluding that a founder must purchase a particular service. See whether you need a paid agent for the decision checklist, and use the state directory to find the responsible registry.
Keep addresses separate
An address accepted for service of process is not automatically a trading address, general mail service or bank-accepted physical location. Check the provider's actual service and the requirements of the institution receiving the address. The address comparison explains the distinctions.
Evaluate a commercial offer
Compare renewal price, forwarding arrangements, what documents are covered, notice delivery, address use and the process for changing providers. Check what a formation bundle actually includes and for how long. A provider's entry price does not establish the long-term cost or suitability for your entity.
Use the registered-agent comparison for provider scope and terms, and maintain a separate reporting and good-standing checklist.
Questions about this decision
Is a registered agent the same as a virtual mailbox?
No. Service of process, ordinary mail forwarding and physical-business-address verification are different functions. Check what the service includes and what the receiving authority accepts.
Are registered-agent rules identical across states?
No. Read the applicable state instructions. New York’s statutory-agent system and Pennsylvania’s registered-office/CROP system are important examples of differences.
Put this into practice
An agent address, a mailing address and a bank-accepted business address serve different purposes. Read our registered-agent address versus virtual-mailbox guide before buying an address service.
