Your LLC must comply with its state's service-of-process and registered-office requirements. That does not establish that every founder must buy a commercial registered-agent subscription. First identify the applicable state system, then decide who can meet it.
A requirement is different from a commercial service
In Wyoming, for example, an individual agent must meet the state's age, residence and physical-address conditions and consent to appointment. A commercial provider can be useful when you cannot meet the applicable rules, but an eligible alternative may exist. Read the official Wyoming guidance for that example rather than applying its requirements to every state.
Two important state distinctions
New York: the Secretary of State is the statutory agent for service of process for most domestic and authorized LLCs. Do not confuse that system with a blanket duty to purchase a separate commercial agent.
Pennsylvania: associations need a registered office address, with the option of a contracted Commercial Registered Office Provider. The state explicitly distinguishes a CROP from a registered agent. Check the exact filing instructions for your entity.
Decide whether a service solves your actual need
- Can an eligible person or entity meet the state's address, availability and consent rules?
- How will received documents reach the person responsible for acting on them?
- Which address or ownership details become public under that filing?
- What does the provider include, charge on renewal and require for cancellation or a switch?
Do not treat an agent address as a guaranteed banking address or a promise that every company record stays private. Our address guide separates those uses.
An agent does not perform every compliance task
Receiving documents does not itself pay fees, file reports or satisfy tax duties. Keep a separate compliance calendar. If choosing a paid provider, use the registered-agent comparison to compare scope and renewal terms. If changing providers, plan the effective change with the registry before relying on the new arrangement.
Questions about this decision
Must every non-resident founder purchase a commercial agent?
No blanket purchase requirement follows from non-residence alone. Check the state’s agent or registered-office rules, eligible alternatives and any statutory-agent system.
Does paying an agent keep the company in good standing by itself?
No. Document receipt is one function. Required filings, fees, taxes and other obligations remain separate responsibilities.
