Choose the right state for your LLC

Compare your operating state, New Mexico, Wyoming and Delaware by registration duties, recurring costs and business plans.

Updated

The best state for an LLC is usually the one that fits where the business actually operates and what it needs to do. A low formation fee elsewhere can become a poor deal if you also need registration, an agent and recurring filings in your operating state. Start with those obligations before comparing popular jurisdictions.

This guide addresses the general state-selection decision. If you live outside the United States and have no fixed U.S. operating location, use our focused non-resident state-choice guide alongside it. Ownership from abroad and operating in another U.S. state are different questions.

Start with where the business will operate

List the places where you expect an office, employees, inventory, property or regular business activity. These facts are prompts for checking a state's rules; they are not a universal checklist that automatically decides registration or tax obligations.

The SBA explains foreign qualification: a business may form in one state and need authority to operate in others. Here, foreign can mean formed in another U.S. state, not necessarily another country. Check the relevant state office for the requirements that apply to your activities.

For a hypothetical local service business with an office and staff in one state, compare forming there first. Forming in New Mexico does not remove the need to check the operating state's registration, licensing or tax rules. An online business also needs to consider its actual operations; selling online does not establish that it has no state obligations.

Compare total costs over two years

Keep five cost categories separate:

Ask what each fee buys and when it recurs. A provider's $0 entry package is its service price, not a waiver of state charges. Likewise, a state without an LLC annual report does not make accounting, agent service or tax compliance free. Use our formation comparison only after identifying the work you need.

When New Mexico belongs on the shortlist

New Mexico can be worth comparing when low recurring entity-administration requirements matter and you have no reason to choose a different jurisdiction. Our New Mexico LLC page separates its recorded filing fee from tax, licensing and service-provider costs.

Do not interpret low entity upkeep as an exemption from other obligations. A company operating in another state may need registration there. Activity in New Mexico may also require tax registration. For a founder outside the United States, banking and payment providers assess their own eligibility criteria; choosing New Mexico does not guarantee an account.

What to compare in Wyoming

The Wyoming fee schedule lists $100 for LLC Articles of Organization. Its annual-report license tax is at least $60 and can be higher based on the stated Wyoming asset calculation. These are state amounts, not an all-inclusive service quote.

Wyoming therefore has a recurring state obligation to budget for. Compare that with its administrative fit for your circumstances rather than treating privacy or a low advertised package as a complete reason to form there. State filing disclosures, tax reporting and a bank's ownership checks are separate layers. See the Wyoming state guide for its registry and recorded requirements.

What Delaware does and does not solve

An investor, financing arrangement or governance plan may create a reason to consider Delaware. That does not establish that a Delaware LLC is the appropriate vehicle for every company seeking investment. Entity type and formation state should be decided together; do not confuse a recommendation for a corporation with one for an LLC.

The current Delaware LLC tax instructions list a $400 annual tax, due by June 1 for the prior year, and distinguish payment from filing an annual report. Check the applicable tax period and current official instructions before relying on an older article or PDF. That recurring cost belongs in the comparison even if the company has little activity.

Delaware does not automatically eliminate registration or tax duties elsewhere. For another view of these tradeoffs, see Wyoming vs. Delaware vs. New Mexico, checking each state's linked official source for current amounts.

A practical decision sequence

  1. Identify actual and planned operating locations.
  2. Check registration and licensing requirements in those locations.
  3. Decide whether the intended entity and financing plan create a specific reason to form elsewhere.
  4. Compare two-year government and optional-service costs for the realistic choices.
  5. Confirm agent eligibility, filing disclosures and banking requirements separately.
  6. Save the sources and dates behind the decision, then use the LLC formation walkthrough.

Frequently asked questions

Is there one cheapest state for every LLC?

No. The lowest formation fee can be outweighed by recurring obligations or registration in another state. Compare the full operating arrangement, not just the first filing.

Does a no-income-tax state remove all taxes?

No. Formation state, federal tax treatment, owner circumstances and business activity are separate questions. An absence of one state tax does not establish that no other filing or tax applies.

Do I have to choose Delaware to raise money?

No universal rule makes Delaware the correct state or an LLC the correct entity for every financing plan. Check the expectations of the actual transaction and compare entity structure as well as jurisdiction.

Can a foreign owner use a U.S. LLC?

Foreign ownership does not by itself choose the state. Check formation rules, an eligible registered agent, an EIN application route and the requirements relevant to the owner's circumstances.

Put this into practice

Use the state-by-state fee comparison with official sources to distinguish opening charges from annual and biennial obligations.

Compare the costs you have identified with the LLC cost planner. A low formation fee alone does not establish the cheapest operating structure.
