For a New York domestic LLC, the publication requirement involves two newspapers and a state filing. Within 120 days after the initial articles of organization become effective, publish the articles or a notice containing their substance once a week for six successive weeks in one daily and one weekly newspaper designated by the county clerk for the LLC’s office county. Then attach both newspapers’ affidavits to a Certificate of Publication and file it with the New York Department of State. The certificate filing fee is $50. See the Department of State instructions and LLC Law §206.
Confirm your state record and contact the county clerk
Start with the LLC’s state record and articles. Verify the exact LLC name and the articles’ filing date before preparing publication paperwork. Separately, identify when the initial articles became effective: that date starts the 120-day period and can differ from the filing date. Keep those dates distinct when planning your schedule. LLC Law §206 supplies the timing rule.
Next, contact the county clerk for the county where the LLC’s office is located. Obtain the designated daily and weekly newspapers before booking publication. Do not assume that any newspaper serving the area qualifies. For the broader formation process, see our New York LLC guide.
Schedule six successive weeks and check the notice
Ask the designated newspapers for quotes and publication schedules. Build your timetable around six successive weeks of publication, once each week in each newspaper. Start early enough to accommodate that run and the remaining paperwork within your compliance schedule. The designation and publication rules appear in LLC Law §206.
Price is one planning consideration; the clerk’s designation and the required schedule also matter. Confirm both before placing an order.
Before approving the notice, compare its contents with the statutory list in §206(a). A sample notice is not a substitute for that check. Verify the LLC name and filing date against the state record, and resolve discrepancies before publication begins.
Collect both affidavits and file the certificate
After publication, collect an affidavit from each newspaper. You need both: one from the daily and one from the weekly. Attach them to the Certificate of Publication and file the package with the Department of State, following its official filing instructions.
The state charges $50 to file the certificate. That fee is separate from newspaper publication charges and the LLC formation fee. Keep those costs separate in your budget so the certificate fee does not stand in for the full publication expense. Our LLC cost-by-state guide provides related cost context.
Keep copies of the notice, both affidavits, the submitted certificate and the filing receipt together. This makes the completed sequence easier to document later.
If the publication requirement is missed
Failure to meet the requirement results in suspension of the LLC’s authority to carry on, conduct or transact business. Subsequent filing of the Certificate of Publication with the required affidavits annuls that suspension. See the Department of State guidance and LLC Law §206.
If your deadline has passed, use the same publication-and-filing sequence to organize the outstanding work. This guide covers domestic New York LLCs; foreign qualification and special exemptions require separate consideration.
